Modern Slavery Policy

Introduction

Cenversa Ltd (trading as Cenversa Hospitals, Cenvet, Central Pet, CAD, VCA, Vets First Choice, CenQuip, Cenbio and Obay) is committed to operating responsibly and with integrity. This commitment is embedded in our Vision and Values, our Code of Conduct, and supporting policies. We strive to be a good corporate citizen by dealing fairly, behaving ethically, upholding human rights, providing a safe and inclusive workplace, acting in an environmentally responsible manner, and complying with all applicable laws.

Cenversa has a zero-tolerance approach to modern slavery in any form — including slavery, servitude, forced or compulsory labour, debt bondage, human trafficking, and the worst forms of child labour — whether in our own operations or in our supply chains.

Our Business

Cenversa is a leading animal health group in Australia, delivering products and services that support the health and wellbeing of companion animals, production animals and other species. Our operations include:

  • Veterinary wholesale procurement and supply services to registered veterinarians
  • Pet supply wholesale procurement and supply to pet retailers
  • Importation and exclusive distribution of specialist veterinary and pet products
  • Ownership and operation of veterinary hospitals
  • E-commerce platforms

Our Supply Chain

Cenversa’s supply chain is centrally coordinated through our warehouse, logistics and e-commerce divisions, with oversight from head office. This integrated wholesale model provides strong visibility and control across procurement activities.

The majority of products we procure are sophisticated veterinary pharmaceuticals, surgical consumables, medical equipment and ancillary items. Our suppliers are predominantly Australian-based companies or Australian subsidiaries of large multinational corporations. Direct importation from overseas manufacturers remains limited; however, some products are sourced indirectly through international supply chains.

Risks of Modern Slavery Practices

Cenversa recognises that the primary modern slavery risk lies within the extended international supply chains of certain manufacturers, particularly in jurisdictions where labour oversight may be weaker or where production is outsourced to low-cost regions.

Within our own Australian operations and the entities we directly control, modern slavery risks are assessed as negligible due to robust Australian employment laws and our internal policies and practices.

Actions to Address Modern Slavery Risks

Cenversa maintains a comprehensive Modern Slavery Policy and implements the following measures:

Supplier due diligence and contracting
  • All new suppliers are required to complete a modern slavery questionnaire and acknowledge compliance with applicable anti-slavery laws.
  • International suppliers must provide certification that materials incorporated into goods supplied to Cenversa have been produced without modern slavery or human trafficking.
  • Key supplier agreements include modern slavery clauses granting Cenversa the right to audit and terminate for non-compliance.
  • We review publicly available modern slavery statements of larger suppliers required to report under the Australian Modern Slavery Act or equivalent overseas regimes.
Risk assessment and monitoring
  • High-risk categories and geographies are mapped and periodically reviewed.
  • Procurement and supply-chain staff receive regular training on identifying and mitigating modern slavery risks.
  • We engage directly with strategic suppliers to understand their own modern slavery programs and encourage continuous improvement.
Internal governance and capability
  • Overall responsibility for modern slavery risk management sits with the Cenversa Executive Leadership Team, with day-to-day coordination by the General Manager of Operations and Compliance.
  • All employees are employed in accordance with Australian law, with verification of identity and work rights conducted at onboarding.
  • Our whistleblower and grievance mechanisms are accessible to employees and external stakeholders.

Effectiveness and Continuous Improvement

Over the past five years we have strengthened supplier onboarding processes, increased the proportion of key suppliers with contractual modern slavery obligations from approximately 60% in FY20 to over 95% in FY26 year to date, and delivered targeted training to all procurement and merchandise team members.

We continue to:

  • Refresh risk assessments annually
  • Update supplier agreements as they come up for renewal
  • Participate in relevant industry forums focused on responsible sourcing in the animal health sector
  • Monitor emerging regulatory requirements and leading practice globally

Cenversa remains committed to working collaboratively with our suppliers, industry peers and other stakeholders to drive meaningful change and further reduce the risk of modern slavery in our supply chains.

Our Consultation Process

We communicated our commitments and actions in combatting modern slavery to the relevant entities in our Cenversa group of companies. We have ensured that relevant areas of Cenversa’s operations are aware of what actions need to be taken to identify, assess, and address modern slavery risks in our operations and supply chains.

This statement constitutes Cenversa Ltd’s modern slavery statement for the financial year ended 30 June 2026 and has been prepared in accordance with the Australian Modern Slavery Act 2018 (Cth). It applies to Cenversa Ltd and all entities it owns or controls.

This statement was approved by Cenversa Ltd on 4th August 2026.
